Partner Terms

These terms are an agreement between Leading Edge AI Ltd, a company registered in England and Wales (company number 17465664), registered office Unit 1 Hutton Close, South Church Enterprise Park, Bishop Auckland, County Durham, DL14 6XG ("we", "us"), and the business that joins the EchoVerb partner programme ("you"). EchoVerb is a Leading Edge AI product.

1. What you do

You introduce businesses to EchoVerb (the "Service"). You can share your referral link, demonstrate the Service, and pass us introductions. You are an independent business: you don't act on our behalf, make promises about the Service beyond what we publish, or sign contracts for us.

2. Which customers are yours

Through your link: a business that signs up within 30 days of first opening your referral link (echoverb.app/?ref=YOURCODE) is yours, unless it was already our customer or already credited to another partner.
Introductions: a business you introduce to us directly is yours once we confirm it in writing (email is enough).
Disputes: if two partners claim the same customer, the first link used or the first introduction we confirmed wins. Our decision, made reasonably, is final.
Not eligible: your own company, businesses you control, and existing customers.

3. What you earn

Commission: 20% (or the rate we agree with you in writing) of what each of your customers pays us, excluding VAT, for their subscriptions and token top-ups.
How long: for as long as the customer keeps paying and you remain a partner in good standing.
When we pay: monthly, by the end of the month after the one in which the customer paid us, by bank transfer, with a statement. You invoice us for the amount on the statement (with VAT if you're registered).
Refunds and chargebacks: commission on any amount we refund or lose to a chargeback is deducted from your next payment.
Minimum: we pay once your unpaid commission reaches £50; until then it carries over.

4. How you promote EchoVerb

Accuracy: describe the Service accurately, using our published materials. Don't claim it is a substitute for a qualified human interpreter in medical, legal or court settings.
No spam: follow the law on electronic marketing (including PECR and UK GDPR). Don't send unsolicited marketing that names EchoVerb to people who haven't agreed to receive it where the law requires consent.
Paid search: don't bid on "EchoVerb" or close variants as search keywords.
Our brand: you may use the EchoVerb name and logo only to promote the Service, as we provide them, and stop when this agreement ends.

5. Ending the agreement

Either of us can end this agreement at any time by email. We may end it straight away if you break section 4. After it ends, we pay commission earned up to the end date; nothing after.

6. General

Changes: we may change these terms or the commission rate with 30 days' notice by email; the change applies to payments after that.
Liability: neither of us is liable to the other for indirect loss. Our total liability under these terms is limited to the commission paid to you in the previous 12 months.
Data: we each handle personal data as an independent controller and in line with data protection law. We share with you only what you need to know about your customers' status and payments.
Law: these terms are governed by the law of England and Wales, and its courts have jurisdiction.
